The following terms and conditions (these “Terms”) are entered into by and between you and BILL ME Foundation, Inc.  (“BILL ME FOUNDATION,” “BILL ME,” “the Corporation,” “we,” “us” or “our”). These Terms govern your access to and use of our website, www.billmefoundation.org (the “Website”). BILL ME Foundation reserves the right to change these Terms and Conditions at any time, and you must consult the most recent version of this User Agreement and Terms and Conditions (not an older cached version) each time you enter the website. Do not use the website if you do not agree to the following terms and conditions.

BILL ME Foundation makes no representations or warranties of any kind regarding this website, including but not limited to any warranties of accuracy, completeness, currency, reliability, merchantability, or fitness for a particular purpose or any warranty that these pages, or the server that makes them available, are free of viruses or other harmful elements, and all such warranties are expressly disclaimed.

You agree that you will hold harmless BILL ME Foundation and its officers, directors and employees from all claims arising out of or related to your access or use of, or your inability to access or use, this website or the information contained in this website or other websites to which it is linked, including but not limited to claims that you have found something you have heard, viewed or downloaded from this website or another website to which it is linked to be obscene, offensive, defamatory, or infringing upon your intellectual property rights or the intellectual property rights of a third party. In no event will BILL ME Foundation or the contributors of information to this website be liable to you or anyone else for any decision made or action taken by you in reliance on such information or for any consequential, special, or similar damages, even if advised of the possibility of such damages.

These Terms and Conditions apply only to this website.  BILL ME Foundation may provide links on the website to other websites that BILL ME Foundation does not control. These links are provided for the convenience of reference only. They are not intended as an endorsement by BILL ME Foundation, the organization or individual operating the website, or a warranty of any type regarding the website or the information on it.  Under no circumstances will BILL ME Foundation be held liable, directly or indirectly, for any loss or damage that is caused or alleged to have been caused to you in connection with your use of, reliance on, or any content, goods, or services available on any other website to which this website links.  You should direct any concerns to that website’s administrator.

7. Governing Law and Jurisdiction.  

This website (excluding linked sites) is controlled and operated by BILL ME Foundation, headquartered in Puerto Rico, United States of America. It can be accessed from all 50 states, United States territories, and other countries worldwide. By accessing this website, you agree that any action at law or equity arising or in any way relating to this website shall be filed only under the statutes and laws of Puerto Rico, without regard to conflicts of law principles thereof. You also agree and submit to the exclusive personal jurisdiction and venue of the Superior Court of Puerto Rico and the United States District Court for Puerto Rico concerning such matters. BILL ME Foundation makes no representation that materials on the website are appropriate or available for use in other locations. Accessing them from territories where their contents are illegal is prohibited. Those who access this website from other locations do so on their initiative and are responsible for compliance with local laws.

8. Copyright.

The works of authorship contained in this website, including but not limited to all design, text, and images (the “Materials”), are owned or licensed by Bill ME Foundation and may not be copied, reproduced, transmitted, displayed, performed, distributed, rented, sublicensed, altered, stored by subsequent use, or otherwise used in whole or in part in any manner without our prior written consent.  Unless permitted otherwise in writing, you may only access the materials within the website for your personal use.  This means you may download copies of Materials for personal, noncommercial use only, so long as you neither change nor delete any author attribution, trademark, legend, or copyright notice.  When you download Materials, you do not obtain any ownership rights.It is improper, and maybe a violation of law, for you to post, download, and distribute any material you do not own or do not have permission to use. UNLESS OTHERWISE INDICATED ON THE WEBSITE, DONATIONS ARE FINAL AND NON-REFUNDABLE. If you elect to donate through the website, we may use third-party services for payment processing (e.g., payment processors).  We will have no insight into or control over these payments or transactions, nor do we have the ability to reverse any transactions.  We will have no liability to you or any third party for any claims or damages that may arise because of any transactions you engage in. We will not store or collect Your payment card details. That information is provided directly to Our third-party payment processors, whose use of Your personal information is governed by their Privacy Policy. These payment processors adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, Mastercard, American Express, and Discover. PCI-DSS requirements help ensure the secure handling of payment information.

10. Electronic Signature:

Authorization to bill for additional fees that might be applicable is obtained by way of your electronic signature or, where applicable, via physical signature and/or voice affirmation. Once an electronic signature is submitted, this electronic order constitutes an electronic letter of agency. Reliance on your electronic signature was specifically sanctioned and written into law when the Uniform Electronic Transactions Act and the Electronic Signatures in Global and National Transactions Act were enacted (collectively, the “E-Sign Act”). The E-Sign Act pre-empts all state laws that only recognize paper and handwritten signatures. Pursuant to any and all applicable statutes, regulations, rules, ordinances, or other laws, including, without limitation, the E-Sign Act and other similar state and federal statutes, YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS AND ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED THROUGH THE WEBSITE OFFERINGS. Further, you hereby waive any rights and/or requirements under any statutes, regulations, rules, ordinances, or other law in any jurisdiction requiring an original signature or delivery or retention of non-electronic records or payments or the granting of credits by other than electronic means. The Council of Nonprofits' failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement.  Neither the course of conduct between parties nor trade practice shall act to modify any provision of the Agreement.
